SEND SCOUT — DATA SHARING AGREEMENT (DSA)

Data Sharing Agreement between Send Scout and Organizations

This Data Sharing Agreement ("DSA") forms part of the Platform Terms and is between:

Send Scout, Inc., 55 Market St Ste 1940 PMB 205448, San Francisco, CA 94105-2448, US ("Send Scout", "we", "us", "our"); and
the organization counterparty to the Platform Terms ("Hirer", "you", "your").

This DSA prevails if there is any conflict between the DSA and Platform Terms. We may update this DSA where reasonably necessary to address Data Protection Laws.

1. Definitions

"Controller", "Data Subject", "Personal Data", "Personal Data Breach", and "Processing" have the meaning given under applicable Data Protection Laws.
"Data Protection Laws" means privacy and data protection laws applicable to Processing of Shared Personal Data under the Platform Terms (including UK GDPR / EU GDPR where applicable, and applicable US state privacy laws).
"Shared Personal Data" means any Personal Data provided or communicated by us (or on our behalf) to you in connection with the Platform Terms, as set out in section 6.
Unless otherwise defined, capitalized terms have the meaning given in the Platform Terms.

2. Reason for sharing Shared Personal Data

Purpose: sharing Shared Personal Data is necessary to facilitate Introductions under the Platform Terms.

Legal basis: Processing is undertaken as necessary to perform contractual obligations to candidates and/or in the legitimate interests of you and us, and in the legitimate interests of the candidates (as applicable under relevant law).

3. Data processing roles

You and we are separate, independent Controllers. Each party will comply with Data Protection Laws for its own Processing. Each party will provide reasonable assistance as reasonably required for the other to comply with Data Protection Laws in connection with this DSA.

4. Your additional obligations

•DSAR assistance: You will assist if we receive a data subject request that relates to your Processing.
•Breach notice: You will notify us without undue delay if you become aware of a Personal Data Breach affecting Shared Personal Data and provide sufficient details for compliance obligations.
•Security: You will maintain appropriate technical and organizational security measures to protect Shared Personal Data.

5. International data transfers

If sharing Shared Personal Data constitutes a restricted international transfer (e.g., UK Restricted Transfer), the parties will implement an appropriate transfer mechanism, such as the UK Addendum to the EU SCCs (Module 1 Controller-to-Controller) or other valid mechanism.

6.3 Details of Processing of Shared Personal Data

Categories of Personal Data	Personal data about Candidates including: Name and title, contact details (including address, email, phone), photograph (if provided). National identification and/or passport details, national insurance / social security number or other tax-related information, driver's licence (if provided). Education history, professional history, professional qualifications and memberships, language proficiencies and other skills, and certifications. References and information relating to references (e.g., referees' names and contact details) (if provided). Information contained within CVs, resumes, and LinkedIn profiles. Screening/interview notes and transcripts (where applicable).
Sensitive Categories of Data	None expected. Additional restrictions and safeguards: We may, but are not obligated to, use measures and technologies (including AI-powered systems) designed to screen for sensitive categories of data and block sharing of such data with you. You are responsible for ensuring compliance with Data Protection Laws when Processing such data.
Frequency of Transfer	Ongoing / continuous
Nature and purpose of the Processing	As required for sharing and/or receipt of the Shared Personal Data under the Platform Terms
Retention period	As necessary for purposes of fulfilling obligations and enjoying rights under the Platform Terms in accordance with Data Protection Law
